ALA GROUP: ADDITIONAL 40% OF ALA GERMANY ACQUIRED TO HOLD 100% OF THE CAPITAL
ALA CONSOLIDATES ITS EUROPEAN POSITION BY ACQUIRING 100% OF ALA GERMANY GMBH

ALA S.p.A. (EGM: ALA), leader in Italy and a main global player in the offer of integrated logistics services and the distribution of products and components for the aerospace industry in both the civil and defense sectors (“Aerospace & Defense”), listed on the Euronext Growth Milan market managed by Borsa Italiana, announces the purchase of a further 40 % of ALA Germany GmbH, a company based in Hamburg, thereby holding 100 % of the share capital of ALA Germany GmbH.
Roberto Tonna, ALA Group CEO , commented: “We believe that this new deal, which allows us to achieve full ownership of ALA Germany GmbH less than three years after the acquisition of the initial majority stake, will enable us to increase our presence in Europe, thanks both to a greater direct presence in Germany and to the possibility of having a strategic logistics hub in the heart of Europe to be able to operate in other countries. In order to increase market share, European growth is a key lever for us to pursue with strong interest. After purchasing the first 60% of ALA Germany in March 2020, we had the opportunity to develop our knowledge of the German market. We identified a new, highly experienced General Manager, and are now working on an ambitious business plan, starting from the opening of the new Hamburg site. We therefore deemed it the ideal time to complete the deal. We do not want to stop here and will thus continue to explore the market for further opportunities.”.
The total acquisition of ALA Germany GmbH, along with the acquisition of S.C.P. Sintersa Group on September 30th, 2022, is another important step in the Group international development process, and outlines the European expansion path for the ALA Group. This latest acquisition consolidates ALA’s international presence, adding a key market such as Germany to the already active offices in Italy, France, the UK and Spain, enhancing business opportunities and the ability to offer innovative and qualitative solutions to customers worldwide.

DESCRIPTION OF OPERATION

On March 23rd 2020, the deed for the acquisition by the ALA Group of the 60% shareholding in ALA Germany GmbH was signed. It included, amongst other things, a call option in favour of ALA S.p.A for the purchase of the remaining 40% shareholding within 5 years from the acquisition. ALA S.p.A. therefore exercised the option, acquiring the remaining 40% share for a price of € 450,000, paid to the seller from the IPO proceeds.
The total investment for the 100% shareholding in ALA Germany amounts to € 750,000.

ALA GERMANY DESCRIPTION
Based in Nuremberg, Industrio GmbH emerges as an established company specialising in the distribution of aerospace materials, boasting an in-depth knowledge of the German market. In 2020, the ALA Group reached an agreement to acquire the majority shares (60% of the capital) of Industrio GmbH and simultaneously renamed it ALA Germany GmbH. Consistent with this decision, a process of integration with the parent company’s activities and the preparation of an industrial plan was initiated, which involved the appointment of a new General Manager and the relocation of the Headquarters from Neumarkt to Hamburg, recognised as the main centre of the German aeronautics industry.
At the year-end of December 31st, 2022, ALA Germany GmbH recorded a turnover of approximately € 2.7 million, which is a clear evidence of its solid market share.
